1Eligibility

You must be at least 18 years old and able to form a binding contract to use Wezard. By using our Site or Services, you represent and warrant that you meet these eligibility requirements and, if using Wezard on behalf of a company or organization, that you have authority to bind that entity to these Terms.

2Services

Wezard provides an AI-powered feedback and bug reporting platform, including but not limited to:

• Screen recording and session capture for bug reporting
• AI-powered voice transcription and ticket auto-fill
• Duplicate ticket detection and similarity scoring
• Automatic ticket merging and deduplication
• Integrations with Jira, Azure DevOps, and other project management tools
• Developer-ready ticket generation with steps to reproduce, environment details, and outcomes
• Enterprise-grade security, SSO, and access control
• Other related features as may be added or agreed upon from time to time

3Account & User Responsibilities

You agree to:

• Provide accurate, complete, and up-to-date account information.
• Keep your login credentials confidential and notify us promptly of any unauthorized access.
• Use the Services only for lawful purposes and in compliance with these Terms.
• Ensure that any feedback, recordings, or data submitted through Wezard does not violate the rights of any third party.
• Cooperate with Wezard for any required onboarding, integration, or support activities.

Wezard will deploy reasonable security measures and controls to protect the Confidentiality, Integrity, Availability, and Privacy of Client data.

4Subscription, Fees & Payment

• Fees for the Services are as set forth in the applicable subscription plan, order form, SOW, or proposal.
• Subscriptions renew automatically unless cancelled prior to the renewal date, in accordance with the plan you selected.
• All fees are non-refundable except as expressly stated or required by law.
• Late payments may be subject to interest charges and/or suspension of Services.

5AI Features & Data Use

Wezard uses artificial intelligence to transcribe voice input, structure tickets, and detect duplicate or similar issues. By using AI-powered features, you acknowledge that:

• AI outputs (transcriptions, suggested tickets, duplicate scores) may not be perfect and should be reviewed before action.
• Recordings and inputs may be processed by Wezard and its sub-processors solely to deliver and improve the Services.
• You are responsible for not submitting sensitive personal data, regulated data, or confidential third-party information that you are not authorized to share.

6Confidentiality

Both parties agree to maintain the confidentiality of all non-public, proprietary, or confidential information exchanged in connection with the Services. This obligation remains in effect during the term of your use of Wezard and after termination.

7Intellectual Property

The Wezard platform, including its software, AI models, designs, branding, logos, and content, is the exclusive property of Wezard and protected by applicable intellectual property laws. You retain ownership of the bug reports, recordings, and feedback content you submit ("Client Content"), and grant Wezard a limited license to host, process, and display such content solely to provide the Services.

8Third-Party Integrations

Wezard integrates with third-party tools such as Jira, Azure DevOps, and others. Your use of such third-party services is governed by their own terms and privacy policies. Wezard is not responsible for the availability, performance, or content of any third-party integration.

9Warranty Disclaimer

Our Site and Services are provided on an "AS IS" and "AS AVAILABLE" basis. To the fullest extent permitted by law, Wezard disclaims all warranties, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, accuracy of AI outputs, and non-infringement. We do not guarantee that the Site or Services will be uninterrupted, error-free, or fully secure.

10Limitation of Liability

To the fullest extent permitted by law, Wezard shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or business opportunities, whether incurred directly or indirectly, arising from the use of, or inability to use, our Site or Services.

11Indemnification

You agree to indemnify and hold harmless Wezard and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses resulting from:

• Your misuse of the Site or Services
• Your violation of these Terms
• Your violation of any rights of a third party, including intellectual property or privacy rights

12Termination

Wezard reserves the right to suspend or terminate your access to the Site or Services at any time, with or without cause, including for violation of these Terms. You may cancel your subscription at any time as described in your account settings or applicable order form. Upon termination, all provisions of these Terms which by their nature should survive will remain in effect.

13Governing Law

These Terms are governed by the laws of the State of Michigan, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the appropriate courts located in Michigan.

14Changes to Terms

Wezard reserves the right to modify these Terms at any time. Material changes will be communicated through the Site or via email. Continued use of the Site or Services after such changes constitutes your acceptance of the updated Terms.

15Privacy Policy

Your use of our Site and Services is also subject to our Privacy Policy, which is incorporated into these Terms by reference.
